OFFICER JOB DESCRIPTIONS

PRESIDENT

Function

  • As President of the Board, ensures the Board of Governors fulfills its responsibilities for the governance of the organization.
     
  • Partners with the E.D., helping him/her to achieve the mission of the organization.
     
  • Optimizes the relationship between the Board and management.

Responsibilities

The President shall preside at all meetings of the Board of Governors, be an ex officio member of all committees, except the Elections Committee, have general and management control of program affairs subject to approval of the Board of Governors, ensure that all orders and resolutions of the Board of Governors are effected, appoint such committee chairs as may be required and sign or countersign all certificates, contracts or other documents, as authorized by the Board of Governors.

  • Chairs meetings of the Board. See that it functions effectively, interacts with management optimally, and fulfills all of its duties. With the E.D. develop agendas.
     
  • With the E.D. recommend composition of the Board Committees. Recommend committee chairperson with an eye to future succession.
     
  • Assists the E.D. in recruiting Board and other talent for whatever volunteer assignments are needed.
  • Reflects any concerns management has in regard to the role of the Board of Governors or individual Governors. Reflect to the E.D. the concerns of the Board of Governors and other constituencies. 
     
  • Annually focuses the Board's attention on matters of organizational governance that relate to its own structure, role, and relationship to management. Ensure the Board is satisfied it has fulfilled all of its responsibilities. 
    Serves as the organization’s spokesperson. 
          

FIRST VICE-PRESIDENT

Function

  • As First Vice-President, supports the President and E.D. in their defined roles in fulfilling the mission of the organization.
     
  • Serves as the liaison between the program chairs and management.

Responsibilities

The First Vice-President shall perform the duties of the President in the absence of that officer and shall be responsible for the overall coordination of all Leadership programs throughout the fiscal year.  The First Vice-President shall communicate regularly with program chairs and shall facilitate communication and collaboration between and among programs.

SECOND VICE-PRESIDENT

Function

  • Serves as liaison between committees and management.

Responsibilities

The Second Vice-President shall be responsible for the overall coordination of all committees of Leadership as approved by the President and/or Board.  The Second Vice President shall communicate regularly with committee chairs and shall facilitate communications and collaboration between and among committees.


TREASURER

Function

  • The Treasurer has control of and general supervision of the organization’s finances. 

Responsibilities

The Treasurer shall ensure that adequate records are maintained by the corporation, give an overview of reports and accountings to the governors as required by the Board of Governors or by law, and perform all duties incident to the office of Treasurer and such other duties as may be required by law, the Articles of Incorporation, or these Bylaws, or which may be assigned by the Board of Governors from time to time.

  • Assists in the preparation of the budget.
  • Monitors the budget.
     
  • Ensures the Board's financial policies are being followed.
     
  • Reports to the Board of Governor about the financial.
     
  • Chairs the finance committee.

BOARD OF GOVERNORS GENERAL MEMBER

Function

Provide governance to the organization, represent it to the community, and 
accept the ultimate legal authority for it.

Board members shall:

  • Determine and support the organization's mission and purpose.
     
  • Commit to attendance at monthly meetings.
     
  • Review and approve programs and fundraising events. 
     
  • Ensure effective organizational planning.
     
  • Ensure adequate resources and manage resources effectively.
     
  • Determine and monitor the organization's programs and services.
     
  • Enhance the organization's public image.
     
  • Review, approve and monitor the organization’s budget.
     
  • Evaluate and assess the Leadership’s progress toward its goals.  
     
  • Identify individuals in the community for volunteer participation or funding support.
     
  • Support the organization financially at an appropriate level.
     
  • Take initiative in informing the Board about opportunities for funding or program development.
     
  • Contact potential donors and appear at Leadership fundraising events.
     
  • Exercise loyalty toward Leadership Palm Beach County and confidentiality regarding its internal affairs as discussed at Board meetings.
     
  • Provide leadership within the Board and in the community on behalf of Leadership Palm Beach County and its programs. 
     
  • Assess its own performance.
